Terms of Service
Please read these Terms carefully before using MDM Express. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, you may not use our services.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Seller", "you", or "your") and MDM Express ("MDM Express", "we", "us", or "our") governing your access to and use of the MDM Express platform, website, and all associated services.
By registering for an account, clicking "I agree," or otherwise accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. Our Services
MDM Express provides a full-stack eCommerce operations platform for COD (Cash on Delivery) sellers across Libya, Iraq, and Lebanon. Our services include:
- Product Sourcing — Access to verified suppliers and product catalogues
- Warehousing & Fulfillment — Storage, packing, and dispatch from our fulfillment centers
- Call Centre Confirmation — Order confirmation services to reduce failed deliveries
- Last-Mile Delivery — End-to-end delivery across covered markets
- COD Remittance — Weekly settlement of collected cash to your account
- Sourcing Advance — Performance-based inventory financing (subject to separate terms)
Services are provided on a modular basis. You may use one or more services as agreed during onboarding. Service availability may vary by market.
3. Accounts & Registration
3.1 Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use MDM Express. By registering, you confirm you meet these requirements.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. MDM Express will not be liable for any loss or damage arising from your failure to maintain account security.
3.3 Accurate Information
You agree to provide accurate, current, and complete information during registration and to keep this information updated. We reserve the right to suspend or terminate accounts based on inaccurate or misleading information.
4. Seller Obligations
As a seller on MDM Express, you agree to:
- Only list and sell products that are legal in the markets you operate in
- Ensure product descriptions and images are accurate and not misleading
- Comply with all applicable consumer protection, import/export, and customs laws
- Not list counterfeit, stolen, or prohibited goods
- Respond to customer complaints and disputes in a timely manner
- Maintain a delivery rate and confirmation rate consistent with platform standards
- Not attempt to circumvent platform fees or engage in fraudulent activity
MDM Express reserves the right to remove listings and suspend accounts that violate these obligations without prior notice.
5. Fees & Payments
5.1 Service Fees
Fees for each service are outlined in your service agreement or onboarding documentation. Fees may include per-order fees, storage fees, delivery fees, and platform commissions. All fees are exclusive of applicable taxes unless stated otherwise.
5.2 Remittance & Deductions
COD amounts collected on your behalf will be remitted to you on the agreed weekly schedule, net of applicable service fees and any outstanding balances. MDM Express reserves the right to hold remittances in cases of dispute or suspected fraud.
5.3 Late Payments
Any amounts owed to MDM Express that are not settled through automatic deduction from remittances will be due within 14 days of invoice. Late payments may result in service suspension.
5.4 Fee Changes
We may update our fee structure with 30 days' written notice. Continued use of the platform after the notice period constitutes acceptance of the new fees.
6. Intellectual Property
The MDM Express platform, including its software, design, logos, trademarks, and content, is owned by or licensed to MDM Express and is protected by applicable intellectual property laws.
You retain ownership of your product listings, images, and brand assets. By uploading content to the platform, you grant MDM Express a non-exclusive, royalty-free license to use, display, and reproduce such content solely for the purpose of operating the platform and providing services to you.
You may not copy, modify, distribute, or create derivative works of the MDM Express platform or any of its components without our express written consent.
7. Limitation of Liability
To the maximum extent permitted by applicable law, MDM Express shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Delays or failures in delivery caused by force majeure, civil unrest, or carrier issues beyond our control
- Loss or damage to goods in circumstances beyond our reasonable control
- Actions or omissions of third-party delivery partners or suppliers
Our total aggregate liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to MDM Express in the three months preceding the claim.
8. Termination
Either party may terminate the service relationship with 30 days' written notice. MDM Express may suspend or terminate your account immediately and without notice if:
- You materially breach these Terms
- We suspect fraudulent activity on your account
- You fail to pay outstanding amounts
- Your account poses a risk to other sellers, customers, or MDM Express
Upon termination, any outstanding remittances will be processed after deducting any amounts owed to MDM Express. Inventory held in our warehouses will be available for collection for 30 days following termination, after which storage fees may apply.
9. Disputes & Governing Law
These Terms shall be governed by and construed in accordance with applicable commercial law. Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
If a dispute cannot be resolved through negotiation within 30 days, either party may escalate to formal mediation or arbitration. Each party agrees to bear its own costs in any dispute resolution process unless otherwise ordered.
You agree that any legal action must be brought within one year of the event giving rise to the claim.
10. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, business practices, or applicable laws. We will notify you of material changes via email or a prominent notice on the platform at least 14 days before the changes take effect.
Your continued use of the platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the platform and notify us to close your account.
